Terms of Service

These terms govern your use of Keel. We have written them in plain English so you can actually understand them. Each section starts with a simple summary, followed by the formal legal language.

1. What Keel Is

Keel is your AI assistant that helps manage your email, calendar, and daily tasks. We work hard to keep it running smoothly, but like any technology, occasional hiccups happen.

Keel is an AI-powered assistant platform provided on a best-effort basis. While we strive for high availability and reliability, we do not guarantee uninterrupted service. Planned maintenance windows will be communicated in advance where possible.

2. How Your AI Assistant Works

Your Keel suggests actions and waits for your approval before doing anything important. You are always in control.

The AI assistant operates on a best-effort basis. Outputs including summaries, draft communications, and suggested actions are generated using artificial intelligence and are not guaranteed to be accurate, complete, or error-free. You are responsible for reviewing all agent actions before they are executed. A configurable confirmation threshold allows you to control which actions require your explicit approval.

3. Email and Calendar Actions

When your Keel drafts an email or schedules a meeting, it is acting on your behalf with your approval — like a very helpful assistant who always checks with you first.

When performing email and calendar actions, the agent acts as your authorised delegate. All communications sent through the service are sent from your connected accounts and under your identity. You are responsible for reviewing drafts and confirming actions before they are sent. Keel is a tool acting on your behalf, not an autonomous actor.

4. Your Responsibilities

Use Keel for legitimate purposes. Keep your sign-in details secure. Do not use it for anything that would get either of us in trouble.

You agree not to use Keel for any illegal activity, to send spam or unsolicited communications, to harass or harm others, or to attempt to circumvent safety controls or security measures. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account.

5. Your Data, Your Rights

You own your data. We only process it to run your AI assistant. For full details on how we handle your information, see our Privacy Policy.

You retain full ownership of all data you provide to or generate through the service. We process your data solely to provide the Keel service as described in our Privacy Policy. We do not sell your data or use it for advertising purposes.

6. Data Retention and Deletion

If you cancel, we keep your data for 30 days in case you change your mind. After that, it is permanently deleted — no backups, no archives.

Your data is retained while your account is active. Upon cancellation of your subscription, your data is retained for a 30-day grace period. After this grace period, all personal data is subject to permanent deletion. To request immediate deletion of your data without the grace period, email [email protected].

7. Australian Consumer Law

If you are in Australia, you have consumer guarantees under Australian Consumer Law that cannot be excluded by these terms. Nothing in this agreement limits those rights.

Australian Consumer Law (Schedule 2 of the Competition and Consumer Act 2010) provides consumer guarantees that cannot be excluded, restricted, or modified by contract. To the extent that Australian Consumer Law applies to your use of Keel, nothing in these terms excludes, restricts, or modifies any rights or remedies you may have under Australian Consumer Law, including guarantees as to acceptable quality, fitness for purpose, and due care and skill.

8. Subscriptions and Billing

Your subscription renews automatically each month. You can cancel any time, and your access continues until the end of the billing period. There is always a free tier available.

Paid subscriptions are billed on a monthly recurring basis through Stripe. Subscriptions automatically renew unless cancelled before the next billing date. Cancellation takes effect at the end of the current billing period. No refunds are issued for partial months. A free tier with limited features is available at no cost.

9. Limitation of Liability

We stand behind our service, but our financial liability is capped at what you have paid us in the last 12 months. This does not affect your rights under Australian Consumer Law.

To the maximum extent permitted by law, Keel's total aggregate liability to you for any claims arising from or related to the service is limited to the amount you paid for the service in the 12 months preceding the claim. We are not liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities. This limitation of liability does not apply to, and does not exclude, any rights or remedies available under Australian Consumer Law consumer guarantees.

10. Suspension and Termination

We can suspend your account if you misuse the service. We will give you notice where possible. You can close your account at any time.

We reserve the right to suspend or terminate your account if you violate these terms, engage in abusive behaviour, or use the service in a manner that threatens the security or integrity of the platform. Where practicable, we will provide notice before suspension. You may close your account at any time through the dashboard or by emailing [email protected].

11. Changes to These Terms

We may update these terms. If we make significant changes, we will give you at least 30 days notice by email. Using Keel after that means you accept the new terms.

We reserve the right to modify these terms at any time. For material changes, we will provide at least 30 days advance notice via email to the address associated with your account. Continued use of the service after the effective date of any changes constitutes acceptance of the modified terms.

12. Governing Law

These terms are governed by Australian law. Any disputes will be resolved in Australian courts.

These terms are governed by and construed in accordance with the laws of Australia. Any dispute arising from or related to these terms or your use of the service shall be subject to the exclusive jurisdiction of the courts of Australia.

13. Open Source

Keel is built on OpenClaw, an open-source AI agent framework released under the MIT licence. We believe in transparency and giving back to the community.

Portions of the Keel platform are built upon OpenClaw, which is distributed under the MIT License. The MIT License permits use, modification, and distribution with minimal restrictions. A copy of the OpenClaw licence is available at github.com/openclaw/openclaw.
